Consultation Services Agreement

This Consultation Services Agreement ("Agreement") is made and entered into by and between Mastery Media Training LLC ("Consultant"), a company duly organized and existing under the laws of Florida, and the undersigned client ("Client"). This Agreement governs the terms and conditions under which Consultant will provide services to Client.

  1. Acknowledgement and Binding Nature
    By signing this Agreement, Client acknowledges that they have read and understood the terms outlined herein, and agree to be bound by this Agreement. Client further acknowledges that this is a binding contract with no money-back provision after the purchase.
  2. Services
    Consultant agrees to provide consultation services ("Services") as outlined in the consultation package chosen by Client. These Services may include media training, camera presence coaching, public speaking development, and other related services.
  3. Payment and Refund Policy
    (a) Payment: Client agrees to pay for the Services in full upon signing this Agreement or in accordance with the payment schedule provided.
    (b) No Refund Policy: Client acknowledges that the fees for the Services are non-refundable after purchase, regardless of the reason for cancellation or dissatisfaction with the Services.
    (c) Termination by Client: Should Client wish to terminate this Agreement prior to receiving Services, Client must notify Consultant in writing at least [5] days in advance. The Client understands that no refunds will be issued in such cases.
    (d) Failure to Book or Complete Services: If Client fails to book or schedule the Services after payment, or fails to complete the agreed-upon sessions or services, Consultant will not be responsible for any refund, rescheduling, or compensation. Client acknowledges that payment is due for the Services regardless of whether the Services are scheduled, completed, or canceled by the Client.
  4. Confidentiality
    (a) Obligations: Both parties agree to maintain confidentiality of any proprietary or confidential information disclosed during the course of the Services.
    (b) Exclusions: Confidential information does not include information that is publicly available or that was independently developed without reference to the confidential information.
  5. Intellectual Property
    (a) Ownership: Consultant retains ownership of all intellectual property, including but not limited to training materials, media content, and any other work products created during the provision of the Services.
    (b) License: Client is granted a limited, non-exclusive license to use the materials provided for personal, non-commercial purposes during the consultation period.
  6. Disclaimers and Responsibilities
    (a) Consultant’s Responsibility: Consultant will make reasonable efforts to provide quality consultation and training services. However, Consultant does not guarantee specific results from the Services provided.
    (b) Client’s Responsibility: Client agrees to actively participate in the consultation process, complete any assignments or preparations requested by Consultant, and act in good faith.
  7. Indemnification
    Client agrees to indemnify, defend, and hold harmless Consultant from and against any and all claims, damages, liabilities, and expenses arising from Client's use of the Services, including but not limited to any legal action or claim arising from Client’s own statements or actions.
  8. Limitation of Liability
    (a) General Limitation: Consultant’s total liability under this Agreement shall not exceed the total fees paid by Client for the Services.
    (b) Exclusion of Damages: Consultant shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with this Agreement.
  9. Client Consents and Representations
    (a) Consent: Client consents to the recording, sharing, and use of any materials or content created during the consultation, as necessary for the performance of the Services.
    (b) Representation: Client represents that all information provided to Consultant is truthful and complete.
  10. Force Majeure
    Neither party shall be liable for failure to perform any obligation under this Agreement due to causes beyond their reasonable control, including but not limited to natural disasters, acts of government, or other force majeure events.
  11. Arbitration
    Any disputes or claims arising from or relating to this Agreement shall be resolved exclusively through binding arbitration conducted by the Arbitration Association under its rules.
  12. Choice of Law and Limited Remedies
    (a) Applicable Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
    (b) Limited Remedies: The only remedies available to Client for any claim arising out of this Agreement shall be limited to the amount of fees paid by Client for the Services, and any further claims for damages are excluded.
  13. Entire Agreement
    This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations between the parties.
  14. Survival
    The provisions of this Agreement that by their nature should survive termination or expiration of this Agreement, including but not limited to confidentiality, indemnification, and intellectual property, shall survive the termination of this Agreement.
  15. Severability
    If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

16. Execution
By completing this purchase, Client acknowledges that they have read, understood, and agreed to the terms of this Agreement.
